Terms of Service

Welcome to YaLIM LLC. These Terms of Service ("Terms") govern your access to and use of the YaLIM LLC Global Digital Good Infrastructure as a Service (IaaS) cloud platform, including our automated application provisioning, self-service tenant portal (dhis2-portal), associated backup services, and Artificial Intelligence (AI) integrations (collectively, the "Service").

By accessing, registering for, or using the Service, you ("User", "Client", or "Tenant") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

YaLIM LLC provides a multi-cloud, high-availability Kubernetes-based infrastructure designed for the automated hosting and management of digital public goods, specifically District Health Information Software 2 (DHIS2) instances and other global digital good applications.

The Service includes automated instance provisioning, dedicated server infrastructure routing, and automated data backup and testing modules. Additionally, the platform provides integrated AI services, including an AI Model Context Protocol (MCP) server. This allows AI agents to securely interact with your managed DHIS2 instances using API keys generated directly from your dhis2-portal account.

2. Account Registration and Responsibilities

To access the Service, you must register for a dhis2-portal account as a Self-Service Tenant. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials, including any API keys generated for AI agent interactions.
  • All activities and actions that occur under your account, including operations executed by external AI agents authenticated via your API keys.
  • Ensuring that the information you provide during registration is accurate and complete.

You agree to immediately notify YaLIM LLC of any unauthorized use of your account, compromised API keys, or any other breach of security.

3. Subscription, Billing, and Payments

Access to the YaLIM LLC infrastructure requires an active, paid subscription.

  • Upfront Payment: Services are billed upfront at the point of provisioning via our integrated payment gateway.
  • Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for the payment of all such taxes.
  • Non-Payment: Failure to process upfront payments or maintain a valid payment method will result in the immediate suspension or termination of instance provisioning and active hosting services.

4. Acceptable Use and Disclaimer of Application Liability

YaLIM LLC provides the raw digital infrastructure and automated application deployment environments. We act strictly as an infrastructure hosting provider.

USER RESPONSIBILITY FOR APPLICATION USE: You expressly acknowledge and agree that YaLIM LLC offers the DHIS2 application, other digital good applications, and associated software environments "as is," and YaLIM LLC is explicitly NOT responsible or liable for the use made of the application by the Tenant, its end-users, AI agents, or any third parties. You are solely responsible for:

  • The configuration, administration, and management of your specific DHIS2 instance.
  • Any actions, data modifications, or retrievals performed on your instance by AI agents utilizing your generated API keys.
  • Compliance with all local, national, and international laws regarding health data collection, processing, and distribution (including Ministry of Health mandates or NGO regulations).
  • Any medical, administrative, or operational decisions made based on the data processed through the application.

5. Data Backup and Disclaimer of Confidentiality

As part of our infrastructure, YaLIM LLC provides an enterprise data protection service featuring automated, redundant, multi-copy backups and recovery testing modules to prevent catastrophic data loss.

DISCLAIMER OF DATA CONFIDENTIALITY:

While YaLIM LLC actively monitors backup integrity to ensure high availability and disaster recovery, YaLIM LLC explicitly disclaims any responsibility or liability for the confidentiality, privacy, or security of the data backed up and stored on our servers.

  • Tenant Encryption Responsibilities: The Tenant acknowledges that health data is highly sensitive. It is the sole responsibility of the Tenant to implement application-level encryption, data anonymization, and access controls within their DHIS2 instance prior to data being backed up.
  • No Warranty of Security: We do not warrant that our multi-cloud servers or S3 storage buckets are immune to unauthorized access, interception, or security breaches. You upload, process, and back up data on the YaLIM LLC infrastructure entirely at your own risk.

6. Service Availability and SLAs

YaLIM LLC utilizes a multi-continent, multi-provider Kubernetes cluster designed to eliminate single points of failure. We strive to provide maximum uptime and uninterrupted high availability. However, we do not guarantee that the Service will be completely free of interruptions, provider-side outages, or maintenance windows. YaLIM LLC is not liable for any damages, revenue loss, or data unavailability resulting from service interruptions.

7. Intellectual Property

YaLIM LLC retains all intellectual property rights in and to the Service, including our proprietary deployment controllers (the dhis2-operator and the generic yalim-operator), the AI MCP server, our self-service dhis2-portal, multi-cloud architecture designs, and infrastructure-as-code scripts. The Tenant retains all rights, title, and interest in and to the specific data they upload to their hosted instances.

8. Indemnification

You agree to defend, indemnify, and hold harmless YaLIM LLC, its directors, employees, and local consultants from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including privacy or intellectual property rights.
  • The actions of any AI agent or third-party service you authorize using the platform's API keys.
  • The content, accuracy, or confidentiality of the data stored or processed within your DHIS2 instance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YALIM LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

10. Termination

YaLIM LLC reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. YaLIM LLC is not responsible for the retention of any data following the termination of your account, and it is your responsibility to export your data prior to cancellation.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Virginia, United States of America, without regard to its conflict of law provisions.
